The Agreement is a public offer in the meaning of Articles 633 and 641 of the Civil Code of Ukraine and an adhesion contract in the meaning of Article 634 of the Civil Code of Ukraine. The Agreement is concluded in electronic form in accordance with Article 11 of the Law of Ukraine "On Electronic Commerce". The terms of the Agreement are the same for all Customers of one Plan.

1. Terms
1.1. Service: the hardware and software system "Merit MCP server" (MCP-сервер Merit), which is located on equipment that the Provider controls and accepts requests at https://law.merit.legal/mcp. On request, the Service returns data from official open sources: legislation, case law, state registers, sanctions lists and other sources, the list of which is published on the Site.
1.2. MCP (Model Context Protocol): an open protocol by which a client program (in particular, an AI assistant) sends requests to the Service and receives answers over the Internet.
1.3. MCP Client: a program of the Customer or of a third person (Claude, ChatGPT, Cursor, VS Code, the Customer's own agent, etc.) that the Customer chooses, sets up and pays for on its own. The MCP Client is not part of the Service.
1.4. Key: a unique access token that the Service issues to an MCP Client when the Customer or a Member allows its connection in the Account Area (the OAuth protocol). Each connection has its own Key. The Key identifies requests to the Service.
1.5. Call: one successful tools/call request to the Service with the Customer's Key. These are not Calls: a request for the list of tools (tools/list), a refusal because a limit is exceeded, an answer marked "source unavailable" (available: false), and an error on the side of the Service.
1.6. Plan: a set of access terms (price, number of Calls per Billing Period, number of seats for Members, limit of Calls per minute) published on the Site in the "Pricing" (Тарифи) section.
1.7. Billing Period: 28 (twenty-eight) calendar days. The first period starts on the day the payment for the Plan is credited, and each next period starts on the day after the previous one ends. Annual payment covers 13 (thirteen) consecutive Billing Periods, that is, 364 days. The trial "Start" (Старт) plan has the term stated on the Site (clause 5.9).
1.8. Site: the Provider's website https://merit.legal together with all its pages.
1.9. Acceptance: full and unconditional acceptance by the Customer of the terms of the Agreement in the procedure of section 3.
1.10. Account Area: the Customer's personal account on the Site (https://merit.legal/mcp/account). The Customer signs in to it with an email address and a one-time code or a link from a letter. In the Account Area, the Customer chooses and pays for a Plan, allows and revokes connections of MCP Clients, and manages the card, Auto-renewal and the team.
1.11. Member: a natural person whom the Customer invited to its account in the Account Area within the number of seats of the Plan. The Customer is also a Member of its account.
1.12. Auto-renewal: automatic debiting of the fee for the next Billing Period or year from the Customer's payment card on the terms of clause 5.10.
2. Subject of the Agreement
2.1. The Provider undertakes to provide to the Customer services of remote access to the Service over the MCP protocol to the extent of the chosen Plan (the Services), and the Customer undertakes to pay for the Services (Chapter 63 of the Civil Code of Ukraine).
2.2. The Services consist of these actions of the Provider:
- issuing Keys to MCP Clients that the Customer or a Member allowed, and revoking them;
- receiving the Customer's requests to the Service, processing them on the Provider's equipment and sending answers;
- collecting, updating and structuring data from the sources connected to the Service;
- counting Calls and limits for each Key;
- technical support by email to the extent that the Plan provides.
2.3. The Agreement is not a licence agreement and is not an agreement on the disposal of economic intellectual property rights (Articles 1107–1109 of the Civil Code of Ukraine). Under the Agreement, the Provider gives the Customer no permission (licence) to use a computer program, a database or another object of intellectual property rights, and transfers no economic intellectual property rights. The fee under the Agreement is a fee for services and is not a royalty.
2.4. The Service runs only on equipment that the Provider controls. The Customer does not receive the program code or a copy of the Service and does not install them on its devices. The Customer installs and sets up the MCP Client on its own. It only enters the address of the Service in it and allows the connection in the Account Area.
2.5. All rights to the Service, its program code, its structure and the data processed by the Provider belong to the Provider or to third persons and stay with them. The texts of laws, court decisions and other official documents are not objects of copyright, and the Provider claims no rights to them.
2.6. The Customer can use the answers of the Service in its work: quote them in its own documents, opinions and procedural documents, and give them to its clients as part of its own work, with the restrictions of clause 7.3. After the Agreement ends, the Customer can continue to use in this way the answers that it received while the Agreement was in force.
2.7. The Services are not legal aid, legal advice or a legal opinion. The Provider does not decide which requests the MCP Client sends or how it uses the answers. Conclusions that the Customer's AI assistant makes are not a result of the Services.
3. Acceptance and conclusion of the Agreement
3.1. Acceptance is any of these actions of the Customer (part six of Article 11 of the Law of Ukraine "On Electronic Commerce"):
- payment for a Plan by card or by the Provider's invoice, in full or in part;
- the check mark of acceptance of the terms of the Agreement and of the Privacy Policy in the form for the first sign-in to the Account Area on the Site.
3.2. The Agreement is concluded at the moment of Acceptance. An Agreement concluded in this way has the same legal force as an agreement in written form. The Customer does not need to sign a paper copy.
3.3. The Provider confirms the conclusion of the Agreement by a letter to the Customer's email address no later than together with the letter about the first payment. The letter contains the name of the Provider, its location, the Plan, the procedure for accepting claims and the procedure for terminating the Agreement (part eleven of Article 11 of the Law of Ukraine "On Electronic Commerce").
3.4. By Acceptance, the Customer confirms that it:
- has read the terms of the Agreement and of the Plan and accepts them in full;
- has full civil legal capacity, and that a person who acts on behalf of a legal entity has the authority to do so;
- is not a person to whom sanctions of Ukraine apply (for a legal entity, this also applies to its ultimate beneficial owner), and does not act in the interests of such a person or of the aggressor state.
3.5. The Provider can refuse to conclude the Agreement if the law requires it (in particular, sanctions legislation), or if the Provider has no technical possibility to provide the Services (part four of Article 633 of the Civil Code of Ukraine). In that case, the Provider returns all money received. If the Provider terminated the Agreement under item 1 of clause 10.5, and the Customer concluded a new Agreement and continues the same breach, the Provider can terminate the new Agreement on the same ground without first suspending the Services.
3.6. The "Corporate" (Корпоративний) plan is provided under a separate agreement. In that case, the terms of the separate agreement prevail, and this Agreement applies to the extent that the separate agreement does not regulate. A Customer that pays for the Services from public funds also concludes a separate agreement. Under such an agreement, both parties sign the Acts.
3.7. The Agreement is concluded in the state language (Ukrainian). The place of conclusion of the Agreement is the place of residence of the Provider (parts nine and fourteen of Article 11 of the Law of Ukraine "On Electronic Commerce").
4. Procedure for providing the Services
4.1. After payment by card, the Plan is in force from the moment the bank confirmed the payment. After payment by invoice, the Provider turns on the Plan no later than 1 (one) business day after the money is credited. To use the Service, the Customer or a Member enters the address of the Service in the MCP Client, signs in to the Account Area and allows the connection. The Service issues a Key to this MCP Client.
4.2. The Services are deemed provided when the Service accepts requests with the Customer's Key during the Billing Period, regardless of how many Calls the Customer actually made.
4.3. The Service works around the clock. The Provider makes reasonable efforts to keep the Service available at least 99 % of the time of the Billing Period. This figure is not a guarantee. A guaranteed level of availability (SLA) and compensation for a breach of it are set only by a separate agreement.
4.4. The Provider can temporarily stop the Service for scheduled maintenance. The Provider gives advance notice of scheduled maintenance that lasts more than 1 hour on the Site or by email.
4.5. The Customer's account has a limit of Calls per Billing Period and a limit of Calls per minute under the Plan. The limit is shared by all Members and all Keys of the account. When the limit of the period is used up, the Service refuses new Calls until the next Billing Period starts or until an additional pack is paid. The Provider charges no fee for exceeding the limit without an order of the Customer.
4.6. Unused Calls of the period limit and of an additional pack do not carry over to the next Billing Period and are not refunded in money. An additional pack is valid until the end of the Billing Period in which it was paid.
4.7. Each Member can have no more than 3 (three) connections at the same time. To connect one more MCP Client, the Member chooses which of the existing connections to replace. The Customer can at any time revoke any connection of its account in the Account Area, and a Member can revoke its own connection. The Key of a revoked connection stops working immediately. The limit of the account does not change because of this.
4.8. The Provider can add sources and tools and change their names and the format of answers. If the holder of a source stops or restricts access to it, the Provider can remove this source from the Service. The Provider gives notice no later than 14 days in advance of the removal of a source for other reasons.
4.9. Technical support is provided by email at support@merit.legal on business days from 10:00 to 18:00 Kyiv time. The Provider answers within 2 (two) business days, and under the "API" plan within 1 (one) business day.
4.10. Team. If the Plan has more than one seat, the Customer can invite Members in the Account Area by their email addresses. An invitation is valid for 7 (seven) days. A Member signs in to the Account Area with its own address and uses the Service within the limit of the Customer's account. The Customer sees the number of Calls of each Member. The Customer can remove a Member, and a Member can leave the team. The connections of such a Member end immediately. One person can be a Member of only one account. The Customer is liable for the acts of its Members as for its own.
5. Price of the Services and payment procedure
5.1. The price of the Services is set by the Plan published on the Site on the date of the invoice. The price is stated in hryvnias.
5.2. The Provider is a payer of the single tax of the third group and is not a payer of value added tax. No VAT is charged on the price of the Services. The Provider tells the Customer about a change of its tax status no later than 14 days before the next invoice.
5.3. The Customer pays 100 % of the price of the Billing Period or of an additional pack in advance (prepayment), by non-cash payment, in one of these ways:
- by payment card in the Account Area through the internet acquiring service plata by mono (JSC "Universal Bank", АТ «Універсал Банк»);
- by the Provider's invoice to the current account (IBAN) given in section 12, on the Customer's request to support@merit.legal.
5.4. An invoice is valid for 5 (five) banking days. The date of payment is the date when the money is credited to the Provider's account. In the payment reference, the Customer gives the invoice number or the text «Оплата послуг доступу до сервісу згідно з рахунком № …, без ПДВ» ("Payment for services of access to the service under invoice No. …, without VAT").
5.5. For annual payment (13 Billing Periods), the Customer pays the price of 11 periods at the price of the Plan. The limit of Calls of each period does not change.
5.6. The Provider can change the prices of the Plans. The Provider publishes the new prices on the Site no later than 14 days before they take effect. A new price does not change the price of a Billing Period that is already paid. For a Customer with Auto-renewal, the new price applies to a debit only if the Provider told the Customer about it by letter no later than 14 days before the date of the debit. Otherwise, the debit is made at the previous price.
5.7. The Customer pays the fees of its own bank and payment service.
5.8. In the cases set by the legislation on the use of payment transaction recorders (in particular, for payment by payment card), the Provider sends the Customer a settlement document (receipt) in electronic form.
5.9. The "Start" plan is a trial plan. Its term, price and limit of Calls are stated on the Site. Each Customer and each payment card can pay for the "Start" plan only once. The Provider refunds a repeated payment for the "Start" plan, and such a payment does not open access. After the "Start" plan ends, Auto-renewal to the Plan stated on the Site at the time of payment for the "Start" plan applies, unless the Customer turned it off. The Provider can change the terms of the "Start" plan or discontinue it by giving notice on the Site 7 days in advance.
5.10. Auto-renewal. When the Customer pays for a Plan by card, it agrees by a separate check mark to regular debits from this card. The bank stores the card and gives the Provider only a token for debits and the masked card number. Then these rules apply:
- at the end of the paid time, the Provider debits from the card the price of the next Billing Period (and for annual payment, of the next year) of the current Plan, and after the "Start" plan, the price of the plan under clause 5.9;
- no later than 3 (three) days before the debit, the Provider sends the Customer a letter with the date and amount of the debit;
- if the debit failed, the Provider repeats it after 1 (one) day and after 3 (three) days. The Plan stays in force until the last attempt. If the last attempt failed, the Plan ends, and the Provider sends the Customer a letter. A debit for which the bank requires 3-D Secure confirmation is deemed a failed attempt;
- the Customer can at any time in the Account Area turn off Auto-renewal, or change or delete the card. After Auto-renewal is turned off, the Plan stays in force until the end of the paid time, and no new debit is made. To save a new card, the bank debits 1 UAH and immediately returns it;
- turning off Auto-renewal or deleting the card is not termination of the Agreement.
6. Acceptance of the Services
6.1. After the end of each Billing Period, the Provider draws up an act of services rendered (the Act) in electronic form and signs it with a qualified electronic signature. The Act states the Billing Period, the Plan, the number of Calls and the price of the Services. Only the Provider signs the Act. The Customer's signature on the Act is not required (paragraph eight of part two of Article 9 of the Law of Ukraine "On Accounting and Financial Reporting in Ukraine"). The Provider sends the Act to the Customer by email or through an electronic document exchange service no later than 5 (five) business days after the end of the period. For annual payment, the Provider draws up an Act after each of the 13 Billing Periods for 1/13 of the paid amount.
6.2. The Customer can send written objections to an Act within 5 (five) business days from the day it receives the Act. The objections must name specific defects of the Services and the period in which they occurred. The Provider examines the objections in the procedure of clause 11.3 and, if they are justified, draws up a corrected Act.
6.3. If the Customer did not send objections within the period of clause 6.2, the Services are deemed properly provided and accepted in full, and the Act is the basis for settlement.
6.4. A Customer who is a natural person and does not carry on business receives an Act only on request. For such a Customer, access to the Service with its Key confirms that the Services were provided.
6.5. The Provider's records of Calls are sufficient evidence of the number of Calls unless the Customer proves otherwise. On the Customer's request, the Provider gives a statement of the number of Calls for each Key by day.
7. Rights and obligations of the parties
7.1. The Provider must:
- provide the Services to the extent of the paid Plan;
- restore the Service after failures within a reasonable time;
- store the Customer's Keys in hashed form and not disclose them to third persons;
- tell the Customer about changes to the Agreement and the Plans within the periods set by the Agreement;
- give Acts and settlement documents under sections 5 and 6.
7.2. The Provider has the right:
- to receive payment for the Services;
- to engage third persons (hosting, network services, payment services) to provide the Services, and it is liable for their acts as for its own;
- to suspend a Key without prior notice if requests with it threaten the work of the Service or if there are signs of unauthorized use of the Key. The Provider tells the Customer about the suspension within 1 (one) business day, and when the cause is removed, the Customer connects the MCP Client again;
- to suspend the Services if the Customer breached clause 7.3 and did not remedy the breach within 3 (three) business days after notice.
7.3. The Customer must not:
- give the Key or access to the Account Area to third persons. Each Member signs in to the Account Area with its own email address. Connecting an MCP Client is not giving the Key to a third person (clause 9.6);
- resell access to the Service or give it to third persons through its own service, API or proxy without a separate agreement with the Provider;
- systematically extract data from the Service to create a database, a copy or a competing product;
- bypass the limits of Calls, in particular through several accounts or repeated "Start" plans;
- test the Service for vulnerabilities, load it or interfere with its work without the written consent of the Provider;
- use data of the Service for purposes contrary to law, in particular for harassment, discrimination or unlawful processing of personal data;
- give access to the Service or give answers of the Service to persons to whom sanctions of Ukraine apply.
7.4. The Customer must:
- pay for the Services on time;
- keep secret the Keys and the access to the email with which Members sign in to the Account Area. All requests with a Key are deemed requests of the Customer until the Key is revoked;
- immediately revoke the Key in the Account Area or tell the Provider if a third person has learned the Key or the access to the Account Area;
- give correct details for invoices and Acts, and tell the Provider when they change;
- check data of the Service against the original source before it makes legally significant decisions on the basis of that data.
7.5. The Customer has the right:
- to receive the Services to the extent of the paid Plan;
- to change to another Plan. A change to a more expensive plan takes effect from the day of payment: the Customer pays the price of the new plan minus the value of the unused paid time of the current plan, and a new Billing Period starts on that day. A change to a cheaper plan takes effect from the next Billing Period. A plan with fewer seats than there are Members in the team is not available until the Customer removes the extra Members;
- to receive technical support under clause 4.9;
- to send claims under clause 11.3.
8. Data of the Service and liability
8.1. The Service returns data from open sources that state bodies and other persons maintain. The Provider does not create or change the content of this data. Each answer contains the publication date of the source (as_of) if the source gives it.
8.2. The Provider does not guarantee that the data of the sources is complete, accurate or up to date at the moment of the request. The absence of a record in an answer of the Service does not mean that the source has no such record. Data of the Service is not an official extract or certificate from a state register. Information about natural persons, legal entities and individual entrepreneurs in the answers of the Service is for reference only and is not an assessment of their business reputation by the Provider.
8.3. The Provider is not liable for:
- errors, omissions and delays of updates in the data sources;
- answers, conclusions and documents that the MCP Client or the Customer's AI assistant created, in particular if the assistant passed on or interpreted data of the Service incorrectly;
- decisions that the Customer or third persons made on the basis of data of the Service;
- the work of the MCP Client, the equipment and network of the Customer or of its internet provider;
- the consequences of use of the Key by a third person if the Customer did not keep it secret.
8.4. For non-performance or improper performance of the Agreement, the parties are liable under the legislation of Ukraine and the Agreement.
8.5. The total liability of the Provider under the Agreement does not exceed the amount that the Customer paid for the last 3 (three) Billing Periods before the event that gave rise to the claim. The Provider does not compensate lost profit or indirect losses. This limitation does not apply to losses caused intentionally.
8.6. If the Service was unavailable through the fault of the Provider for more than 24 hours in a row in a paid Billing Period, the Provider, on the Customer's demand, extends the period by the corresponding number of days or refunds the price of these days. The Customer must send the demand within 30 days after the unavailability.
8.7. Under the "Start" plan, the Service is provided "as is", without the availability figure and without compensation under clause 8.6.
8.8. For a breach of clause 7.3, the Customer compensates the Provider for the losses caused. In this case, the money for the current Billing Period is not refunded.
8.9. If the Customer is a consumer in the meaning of the Law of Ukraine "On Consumer Rights Protection", the terms of this section do not limit those of its rights that this Law does not allow a contract to limit.
9. Personal data and confidentiality
9.1. To perform the Agreement, the Provider processes these data of the Customer and the Members: surname and first name or name of the organization, email address, details for invoices and Acts, connection data (name of the MCP Client, time of connection and of revocation), the masked card number and the card token for Auto-renewal, the log of Calls (Key, time, name of the tool, IP address; the log does not store the content of requests). The ground of processing is the conclusion and performance of a transaction (item 3 of part one of Article 11 of the Law of Ukraine "On Personal Data Protection"). The Privacy Policy at https://merit.legal/mcp/privacy describes the procedure of processing.
9.2. The Provider keeps the log of Calls no longer than 12 months and uses it only to count Calls, for security, to examine claims and to improve the Service. The Provider does not sell the log of Calls and does not give it to third persons, except in cases set by law.
9.3. Answers of the Service can contain personal data from open registers (in particular, names of directors, individual entrepreneurs, debtors, advocates, notaries). The Customer determines on its own the purpose and ground of further processing of this data and is responsible for its lawfulness.
9.4. The Customer must not put in requests to the Service information protected by advocate-client privilege, special categories of personal data, passwords, payment card data or other information that the search does not need. A request to the Service contains only search parameters (case number, EDRPOU code, search words, etc.).
9.5. Each party keeps secret the non-public information of the other party that it received under the Agreement, during the term of the Agreement and for 3 (three) years after it ends. The Provider can name a Customer that is a legal entity among its clients only with its written consent.
9.6. When the Customer or a Member connects the Service to an MCP Client, the provider of that Client receives the Key, the requests and the answers of the Service, because the Customer or the Member set it up in this way. Such a provider is not a third person engaged by the Provider (item 2 of clause 7.2) and does not receive personal data from the Provider. It processes the data under its own terms, which the Customer accepts on its own.
10. Term, change and termination of the Agreement
10.1. The Agreement is in force from the moment of Acceptance until it is terminated. The Plan is in force until the end of the paid time and is renewed under clause 5.10. If the plan is not renewed, the Customer's account stays without a Plan: the Service refuses Calls, and the connections above 3 (three) per account are turned off. The account and the Agreement are kept in this case.
10.2. The Provider can change the Agreement. The Provider publishes the new version on the Site and sends a notice to the Customer's email address no later than 14 days before it takes effect. Previous versions of the Agreement stay available on the Site.
10.3. If the Customer does not agree with the new version, it can terminate the Agreement before the date the new version takes effect and get a refund under clause 10.6. If the Customer continues to use the Service after that date, it accepts the new version.
10.4. The Customer can terminate the Agreement at any time (Article 907 of the Civil Code of Ukraine). To do this, the Customer sends a letter to support@merit.legal from the email address given at Acceptance. The Agreement ends on the day the letter is received, unless the letter states a later date. Removing the Service or the Key from the settings of the MCP Client is not termination of the Agreement. Conversations and answers that the MCP Client has already received are kept by its provider under its own terms, and termination of the Agreement does not delete them.
10.5. The Provider can terminate the Agreement unilaterally:
- if the Customer breached clause 7.3 and did not remedy the breach after the Services were suspended, or breached it again: from the day the notice is sent;
- if a statement of clause 3.4 proved untrue or the law requires it: from the day the notice is sent;
- if the Provider stops operating the Service: 30 days before it stops, with a refund under clause 10.6.
10.6. Refunds. After the Agreement is terminated, the Provider refunds to the Customer the amount for Billing Periods that it paid and that have not yet started. The price of the current period and of additional packs is not refunded, except in the case described at the end of this clause. For annual payment, the refund equals the amount paid minus the price of the Plan for one period multiplied by the number of periods that have started, but not less than 0 UAH. In the cases of clause 10.3 and clause 10.5 (item 3), the Provider also refunds the price of the days left in the current period and does not withhold the annual discount. If Auto-renewal debited the fee for a new Billing Period or year, and the Customer asked for a refund by a letter to support@merit.legal within 7 (seven) days after the debit, and the account made no Call in this period, the Provider refunds the whole debited amount, and the Plan ends from the day of the refund.
10.7. The Provider refunds the money within 14 days after the Agreement ends, to the account from which the payment was made or to another account of the Customer that it gave in a written application. In the case of clause 10.5 (item 1), clause 8.8 applies.
10.8. Termination of the Agreement does not release the parties from obligations that arose before the date of termination. After termination, the Provider revokes all Keys of the Customer and of its Members and asks the bank to delete the saved card. After the Agreement ends, clauses 2.5, 2.6, 9.5, 11.4, section 8 and other terms that by their nature must continue after termination stay in force.
11. Force majeure, disputes and other terms
11.1. A party is not liable for non-performance of the Agreement if it occurred because of force majeure: hostilities, attacks on energy and network infrastructure, long power outages, decisions of authorities, suspension of state registers and other circumstances that the party cannot control. A party tells the other party about such circumstances within 5 (five) business days and, on demand, proves their effect on the performance of this Agreement specifically. These circumstances do not release the Customer from payment for Services provided before they occurred.
11.2. If force majeure lasts more than 30 days, each party can terminate the Agreement. Refunds are made under clause 10.6.
11.3. Claims. The Customer sends a claim about the Services to support@merit.legal. The claim contains the name of the Customer, the substance of the demand and the date or period to which it relates. The Provider examines the claim and answers within 14 (fourteen) days.
11.4. The parties settle disputes by negotiation. If the parties do not reach agreement, a court of Ukraine hears the dispute under the rules of jurisdiction. The law of Ukraine applies to the Agreement.
11.5. Emails between the Customer's address given at Acceptance and the Provider's address support@merit.legal are written notices under the Agreement. A notice is deemed received on the day it is sent if it is sent before 18:00 Kyiv time, or otherwise on the next business day. The Customer tells the Provider about a change of its email address. Until such a notice, a letter to the previous address is deemed received.
11.6. The parties recognize electronic documents (invoices, Acts, letters) signed with a qualified or advanced electronic signature. On the demand of a Customer that is a legal entity, the parties sign a copy of the Agreement with the same content in electronic or paper form.
11.7. If a court holds any term of the Agreement invalid, the other terms stay in force.
11.8. The Customer cannot transfer its rights and obligations under the Agreement to a third person without the written consent of the Provider. The Provider can transfer its rights and obligations under the Agreement to a legal entity or an individual entrepreneur that continues to provide the Services on the terms of the Agreement. By Acceptance, the Customer consents to such a change of party. The Provider tells the Customer about the transfer no later than 30 days in advance. If the Customer does not agree, it can terminate the Agreement before the date of the transfer and get a refund under clause 10.6 as in the case of clause 10.3.
